CVS Pharmacy Now Open in Target Stores Throughout Washington

WOONSOCKET, R.I., June 7, 2016 /PRNewswire/ -- CVS Health (NYSE: CVS) today announced that the first CVS Pharmacy locations in Target stores are now open in Washington. The pharmacies, located in several metropolitan areas, including Olympia, Seattle, Spokane and Tacoma, are being operated through a store-within-a-store format and are branded CVS Pharmacy.

In addition to the CVS Pharmacy locations in Target, CVS Pharmacy currently operates seven free-standing stores in Washington. With the addition of the 30 rebranded CVS Pharmacy in Target locations, the company is expanding its reach in the state and is introducing Target guests to its suite of innovative pharmacy care services.

The CVS Pharmacy in Target locations in Washington will soon offer the complete suite of services available at traditional CVS Pharmacy stores. Maintenance Choice, a program that lets CVS Caremark plan members choose to fill 90-day supplies of medications for chronic conditions either through mail service or at any CVS Pharmacy location, is now available in all pharmacies in Target. Pharmacy Advisor, a program in which CVS Caremark plan members diagnosed with chronic conditions receive face-to-face counseling when they choose to fill prescriptions at CVS Pharmacy or by phone when they choose mail service pharmacy, will be available by the end of 2016. Specialty Connect, a feature of CVS Specialty which gives patients the option to pick up their specialty prescriptions at any CVS Pharmacy, will be available to patients as Target pharmacies convert to CVS Pharmacy.

Patients who utilize CVS Pharmacy's digital offerings are also able to scan their pill bottles to order refills of their prescriptions and receive medication reminders while benefiting from easier in-store pickup. CVS Pharmacy's leading ExtraCare loyalty program and the opt-in ExtraCare Pharmacy & Health Rewards will allow patients to earn $5 in ExtraBucks Rewards for every 10 prescriptions filled. Patients can also earn rewards for the other things they do to stay healthy, like getting immunizations or choosing email refill reminders.

CVS Pharmacy is committed to giving back to the communities where its colleagues live and work. CVS Health and Target Sign Agreement for CVS Health to Acquire, Rebrand and Operate Target’s Pharmacies and Clinics

Woonsocket, RI and Minneapolis, MN, June 15, 2015 CVS Health Corporation (NYSE:CVS) and Target Corporation (NYSE:TGT) announced today that they have entered into a definitive agreement for CVS Health to acquire Target’s pharmacy and clinic businesses for approximately $1.9 billion. Through this agreement, CVS Health will acquire Target’s more than 1,660 pharmacies across 47 states and operate them through a store-within-a-store format, branded as CVS/pharmacy. In addition, a CVS/pharmacy will be included in all new Target stores that offer pharmacy services. Target’s nearly 80 clinic locations will be rebranded as MinuteClinic, and CVS Health will open up to 20 new clinics in Target stores within three years of the close of the transaction. The new clinics will be part of CVS/minuteclinic’s plan to operate 1,500 clinics by 2017. In addition, CVS Health and Target plan to develop five to 10 small, flexible format stores over a two-year period following the deal close, which will each be branded as TargetExpress and include a CVS/pharmacy.

This strategic relationship brings together two leading retailers with complementary strengths, brands and cultures to enhance the health care experience for Target guests while expanding CVS Health’s retail presence in new markets, such as Seattle, Denver, Portland and Salt Lake City. The transaction enables CVS Health to reach more patients, adding a new retail channel for its offerings, and expanding convenient options for consumers. Given CVS Health’s proven success in growing its business, the relationship is expected to benefit Target’s long-term traffic and sales growth. It also enables Target to strengthen its focus on wellness as a signature category. Moving forward, enhanced efforts by Target will center on continuing to deliver products and experiences to help guests eat well, be active and find natural and clean label products.

CVS Health has also committed to having a low-cost generic drug option available to Target’s cash-paying guests. In addition, with MinuteClinic at Target locations, Target guests will have enhanced access to high-quality affordable medical care. CVS Health customers will gain the option of an expanded, one-stop Target shopping experience, including apparel, home, fresh food and more, when seeking health care services.

The strategic relationship also unlocks future joint development opportunities. Together, Target and CVS Health will carefully evaluate and select locations best-suited for new small format Target stores with a CVS/pharmacy inside. Additionally, Target and CVS Health will explore innovative, new market offerings that have the potential to generate strong returns on investment and offer long-term benefits for customers and communities.

This acquisition is consistent with each company’s stated goals of investing in core businesses that help drive growth.

CVS Health expects this transaction to generate significant sales and prescription volumes upon closing, and to generate significant operating profit over the long term. The company will finance the transaction with additional debt. In combination with CVS Health’s planned acquisition of Omnicare, this transaction will increase the company’s Adjusted Debt to EBITDA leverage ratio to approximately 3.2x. In support of reaching its leverage target of 2.7x, CVS Health is reducing its share repurchase guidance for 2015 by $1 billion, from $6 billion to $5 billion. This reduction in share repurchases reduces the company’s 2015 Adjusted Earnings Per Share guidance by approximately one cent per share and will lower 2016 Adjusted Earnings Per Share by approximately 4 cents per share.

The timing of closing the transaction is uncertain; assuming it closes near the end of the year, the transaction is expected to be approximately 6 cents dilutive to CVS Health’s Adjusted Earnings Per Share in 2016. This includes the dilutive impact to 2016 from the lower 2015 share repurchase of approximately 4 cents per share as well as financing costs of approximately 5 cents per share; it excludes integration costs and any transaction or one-time costs associated with the deal. On the same basis, the transaction is expected to be approximately 10 cents accretive to CVS Health’s Adjusted Earnings Per Share in 2017, and at least 12 cents accretive to CVS Health’s Adjusted Earnings Per Share in 2018 and beyond.

This transaction will allow Target to continue offering this traffic-driving business in its stores and deliver a differentiated experience in support of its wellness efforts. Target’s after-tax net proceeds from the transaction are expected to be approximately $1.2 billion, which Target expects to deploy in support of its long-standing capital priorities, including share repurchase. The transaction is expected to benefit Target’s Segment EBITDA and EBIT margins post-close, is expected to be accretive to Target’s EPS immediately following the deal close, and is expected to add half a percentage point or more to Target’s return on invested capital over time.

The transaction is subject to customary closing conditions, including necessary regulatory clearance. In-store changes will be rolled out over a period of several months thereafter, as CVS Health and Target work to ensure the smoothest possible transition for all pharmacy and clinic patients. CVS Health is committing to offering the approximately 14,000 in-store Target health care professionals comparable positions with CVS Health as part of the transition. Also following the deal closing, Target will further evaluate the business impact and related support needs at its headquarters locations.

With the completion of the transaction, CVS Health acquired Target's 1,672 pharmacies across 47 states and will operate them through a store-within-a-store format, branded as CVS/pharmacy. In addition, a CVS/pharmacy will be included in all new Target stores that offer pharmacy services. Seventy-nine Target clinic locations will be rebranded as MinuteClinic, and CVS Health will open up to 20 new clinics in Target stores within three years of the close of the transaction.

Financial Considerations

The closing of this transaction is expected to have the following impact on Target's fourth quarter 2015 financial results:

  • The recognition of a pre-tax gain of $575 million to $775 million, based on the final valuation of assets sold. The gain will be excluded from Adjusted Earnings per Share.
  • A reduction of expected fourth quarter sales of approximately $500 million, with no change to the company's expected fourth quarter segment EBIT.

The closing of this transaction does not change Target's expected fourth quarter comparable sales, because the comparable sales calculation will only include pharmacy sales from fourth quarter 2014 for the equivalent period in which Target operated its pharmacies in fourth quarter 2015.

Target's after-tax net proceeds from the transaction are expected to be approximately $1.2 billion, which the company expects to deploy over time in support of its long-standing capital priorities, including share repurchase. This transaction is expected to be accretive to Target's EBITDA and EBIT margin rates and add half a percentage point or more to Target's return on invested capital over time.

CVS Pharmacy in Target Locations Now Open in Utah

The pharmacies, located in the Ogden-Clearfield, Provo-Orem, Salt Lake City and St. George metropolitan areas, are being operated through a store-within-a-store format and are branded CVS Pharmacy.

In addition to the CVS Pharmacy locations in Target, CVS Pharmacy operates 11 free-standing stores in Utah. With the addition of 13 rebranded CVS Pharmacy in Target locations, the company is expanding its reach in the state and is introducing Target guests to its suite of innovative pharmacy care services.

The CVS Pharmacy in Target locations in Utah will soon offer the complete suite of services available at traditional CVS Pharmacy stores. Maintenance Choice, a program that lets CVS Caremark plan members choose to fill 90-day supplies of medications for chronic conditions either through mail service or at any CVS Pharmacy location, is now available in all pharmacies in Target. Specialty Connect, a program that gives patients the option to bring their specialty prescriptions to any CVS Pharmacy, will be available to patients as Target pharmacies convert to CVS Pharmacy. Pharmacy Advisor, a program in which CVS Caremark plan members diagnosed with chronic conditions receive face-to-face counseling when they choose to fill prescriptions at CVS Pharmacy or by phone when they choose mail service pharmacy, will be available by the end of 2016.

CVS Pharmacy's leading ExtraCare loyalty program and the opt-in ExtraCare Pharmacy & Health Rewards will allow patients to earn $5 in ExtraBucks Rewards for every 10 prescriptions filled. Patients can also earn rewards for the other things they do to stay healthy, like getting immunizations or choosing email refill reminders.

In December 2015, CVS Health acquired all Target pharmacies and retail clinics across 47 states. MinuteClinic Opens Its First Walk-in Medical Clinics Inside Chicagoland Target Stores

The clinics located in 13 stores in Cook (including the city of Chicago), DuPage, Kane and Lake Counties have been rebranded and converted to MinuteClinic. There are now 56 MinuteClinic locations in Chicagoland, including clinics in CVS Pharmacy stores. Chicago is MinuteClinic's largest metropolitan market in the United States.

Most major health insurance is accepted. For patients paying cash or credit, treatment prices are posted at each clinic and at www.minuteclinic.com.

Nurse practitioners at MinuteClinic specialize in family health care and can diagnose, treat and write prescriptions for common family illnesses such as strep throat; ear, eye, sinus, bladder and bronchial infections; nausea, vomiting and diarrhea; heartburn and indigestion. Minor wounds, abrasions, skin conditions, sprains and strains are treated, and common vaccinations such as influenza, tetanus, pneumonia and Hepatitis A & B are available at most locations.

Prevention and wellness services include screening and monitoring for diabetes, high blood pressure and high cholesterol, tuberculosis (TB) testing, contraceptive care, motion sickness prevention, smoking cessation and weight loss management in partnership with the Dash for Healthtm program.

At the conclusion of each visit, patients receive educational material, a prescription (when clinically appropriate) and a visit summary. A copy of the diagnostic record can be sent electronically, or by fax or mail, to a primary care provider with patient permission.

With the new MinuteClinic in Target locations, Sussman says MinuteClinic can continue to play a complementary role in working with primary care providers.

MinuteClinic locations in Chicagoland are affiliated with Rush University Medical Center and University of Chicago Medical Center.

In December 2015, CVS Health acquired all Target pharmacies (1,672 locations across 47 states) and retail clinics (79 locations in seven states). Target-based pharmacy locations are being rebranded CVS Pharmacy over the next several months and will operate through a store-within-a-store format. Target clinic locations are being rebranded as MinuteClinic over the next few months as well.

The MinuteClinic walk-in medical clinics inside Target stores in Northern Virginia operate from 9:00 a.m. to 7:30 p.m., Monday through Friday (Sterling location closes at 7pm), and from 9 a.m. to 4 p.m., Saturday and 9 a.m. to 4 p.m. Sunday (Sterling location open 11 a.m. to 4 p.m. Sunday).
